Terms and Conditions of Use

Welcome to Mani. These Terms and Conditions of Use ("Terms") constitute a legal agreement between you ("User", "you" or "your") and Makoto Studio ("we", "our" or "the company"), and govern your use of the Mani mobile and desktop application ("the App").

1. Acceptance of Terms

By downloading, installing, or using Mani, you agree to be legally bound by these Terms. If you do not agree with these Terms, do not use the App.

These Terms apply in addition to (not in replacement of):

• Apple App Store Terms and Conditions
• Our Privacy Policy
• RevenueCat terms (for subscriptions)

2. Service Description

2.1 What is Mani?

Mani is a personal finance management application that allows you to:

• Record and categorize financial transactions (income and expenses)
• Create and manage custom categories
• Set spending limits per category
• Define savings goals and track progress
• Visualize analytics and statistics of your finances
• Sync data across your Apple devices via iCloud

2.2 What Mani is NOT

Mani is available for:

• iPhone (iOS 18.0 or higher)
• iPad (iPadOS 18.0 or higher)
• Mac (macOS 26.0 or higher)
• Apple Vision Pro (visionOS 26.0 or higher)

3. Usage Requirements

3.1 Minimum Age

You must be at least 13 years old to use Mani. If you are under 18, you must have parental or guardian consent.

3.2 Apple Account and iCloud

To use Mani you need:

• A valid Apple ID (to download the app)
• Optionally, iCloud enabled (for device synchronization)

3.3 Internet Connection

While Mani works primarily offline, an internet connection is required to:

• Download and install the app
• Sync data with iCloud
• Manage PRO subscriptions
• Receive app updates

4. License to Use

4.1 Grant of License

We grant you a limited, non-exclusive, non-transferable, and revocable license to use Mani on your personal devices exclusively for personal finance management purposes.

4.2 Usage Restrictions

You may NOT:

• ❌ Copy, modify, or create derivative works of the App
• ❌ Reverse engineer, decompile, or disassemble the App
• ❌ Distribute, sell, rent, or sublicense the App
• ❌ Use the App for commercial or business purposes
• ❌ Remove copyright or intellectual property notices
• ❌ Use the App in a way that violates applicable laws
• ❌ Attempt to access unauthorized systems or code
• ❌ Use the App to create a competing product or service

4.3 Intellectual Property

All rights, titles, and interests in Mani, including but not limited to:

• Source and object code
• User interface design
• Graphics, icons, and logos
• Text and content
• "Mani" and "Makoto Studio" trademarks

Are and remain the exclusive property of Makoto Studio. These Terms do not grant you any intellectual property rights in the App.

5. Subscriptions and Payments

5.1 Free Version vs. PRO

Free Version:

• Up to 8 categories
• Unlimited transactions
• Basic tracking features
• iCloud synchronization

PRO Version (Subscription):

• Unlimited categories
• Unlimited spending limits
• Advanced analytics
• All premium features

5.2 Subscription Management

PRO subscriptions are managed exclusively through:

• Apple App Store (in-app purchases)
• RevenueCat (payment processor)

All payments, billing, refunds, and cancellations are governed by Apple App Store Terms.

5.3 Pricing and Billing

• Prices are displayed in your local currency in the App Store
• Subscriptions renew automatically unless cancelled
• Charges occur 24 hours before the current period ends
• We may change prices with 30 days' notice

5.4 Cancellation and Refunds

To cancel your subscription:

1. Go to iOS/macOS Settings
2. Tap your name > Subscriptions
3. Select Mani PRO
4. Tap "Cancel Subscription"

5.5 Free Trial (if applicable)

If we offer a free trial period:

• You can cancel anytime during the trial without charge
• If you don't cancel, you'll be automatically charged at the end
• Only one trial period per user
• Valid payment method required

6. Your Data and Content

6.1 Ownership of Your Data

Your financial data is and remains yours. We do NOT have access to:

• Your transactions
• Your categories
• Your spending limits
• Your savings goals

6.2 Responsibility for Your Data

You are solely responsible for:

• The accuracy of data you enter
• Maintaining backups (iCloud sync helps, but we don't guarantee it)
• Security of your device and iCloud account
• Financial decisions based on the app's information

6.3 Data Deletion

You can delete all your data at any time:

• From within the app (delete individual transactions)
• From iCloud Settings > Manage Storage > Mani > Delete Data
• By uninstalling the app (data remains in iCloud until you manually delete it)

7. Limitation of Liability

7.2 Financial Disclaimer

WE ARE NOT RESPONSIBLE FOR:

• Financial decisions you make based on the app's information
• Financial losses resulting from app use or misuse
• Errors in calculations, analysis, or projections
• Failure to meet financial goals
• Incorrect data entered by the user

7.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKOTO STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the app
• Any unauthorized access to your data
• Statements or conduct of third parties in the app
• Any other matter related to the app

Our total liability to you for any claim shall not exceed the amount you paid for the app in the last 12 months, or 50 euros, whichever is less.

7.4 Bugs and Errors

While we strive to provide a high-quality app:

• The app may contain bugs or errors
• We don't guarantee all bugs will be fixed
• The app may not work correctly in all configurations
• Future updates may introduce new bugs

8. Changes to the App and Terms

8.1 App Modifications

We reserve the right to:

• Modify or discontinue any app feature
• Change app functionality in updates
• Remove features without notice
• Change technical requirements (supported iOS/macOS versions)

8.2 Modifications to These Terms

We may update these Terms occasionally. We'll notify you of significant changes through:

• In-app notification
• Date update at the top
• Email (if we have it - but remember we don't collect emails)

Your continued use of the app after changes constitutes acceptance of the updated terms.

8.3 Service Discontinuation

We reserve the right to discontinue Mani at any time, with or without notice. In case of discontinuation:

• We'll attempt to provide reasonable notice (30 days)
• Active subscriptions will be cancelled and refunded proportionally
• The app will continue working locally on your device
• iCloud synchronization will stop working

9. Termination

9.1 User Termination

You can stop using Mani at any time by:

• Uninstalling the app from your devices
• Cancelling your PRO subscription (if you have one)
• Deleting your data from iCloud

9.2 Our Termination

We may suspend or terminate your access to Mani if:

• You violate these Terms
• You use the app fraudulently or illegally
• You reverse engineer or attempt to hack the app
• For any other reason, at our sole discretion

9.3 Effects of Termination

Upon terminating your use:

• You must stop using the app immediately
• Your data remains on your device/iCloud (until you delete it)
• No right to refund (except as stipulated by Apple)
• Relevant sections of these Terms survive (limitation of liability, etc.)

10. Third-Party Links

Mani may contain links to third-party services:

• RevenueCat: For subscription management
• Apple: For payments and App Store
• Support/Feedback: Links to email

We are not responsible for the privacy practices or content of these third parties. Your use of third-party services is subject to their own terms.

11. Jurisdiction and Applicable Law

11.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without giving effect to its conflict of law provisions.

11.2 Jurisdiction

Any dispute related to these Terms or use of Mani shall be resolved in the courts of Navarre, Spain, and you agree to submit to the personal jurisdiction of such courts.

11.3 Language

In case of conflict between the Spanish and English versions of these Terms, the Spanish version shall prevail.

12. Dispute Resolution

12.1 Informal Contact First

Before initiating any legal action, we ask that you attempt to resolve any dispute by contacting us first at: developer@makotostudio.dev

12.2 Mediation

If we can't resolve the dispute informally, we agree to attempt mediation before proceeding to court.

12.3 Class Action Waiver

To the maximum extent permitted by law, you agree that any dispute will be resolved individually, not as part of a class action or group action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Makoto Studio regarding the use of Mani.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be removed and the remaining provisions shall remain in full force.

13.3 Waiver

Our failure to exercise any right under these Terms does not constitute a waiver of that right.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may freely assign these Terms.

13.5 No Employment Relationship

These Terms do not create any partnership, joint venture, employment relationship, or agency between you and Makoto Studio.

14. Legal Compliance

14.1 Compliance with Laws

You agree to use Mani in compliance with all applicable laws and regulations, including but not limited to:

• Data protection laws (GDPR, LOPD-GDD)
• Tax laws
• Export laws
• Intellectual property laws

14.2 Prohibited Use

You may NOT use Mani for:

• Illegal activities (money laundering, fraud, tax evasion)
• Financing terrorist or criminal activities
• Violating third-party rights
• Any illegal or unauthorized purpose
